We support the robust use of web sites by our independent agents to promote themselves and Travelers' products, and believe that the proper use of Travelers' intellectual property will add value to your web site. We have prepared for you the following Guidelines for proper use of Travelers valuable intellectual property, namely our trademarks, service marks, logos, information and promotional materials. We believe that following these Guidelines will add to the integrity of your web site as well as maintain the high standards of quality that Travelers has established for its intellectual property. Guidelines for Proper Use of The Travelers Marks and Logos:

• Travelers marks and logos must be displayed on your web site at least as large as the largest display of the marks or logos of other insurance companies displayed on your web site.
• Travelers marks and logos, as provided through the Travelers web site, may not be modified or changed. Only use the official Travelers marks and logos from the Travelers web site. Do not use scanned in versions of our marks or logos, or versions from other sources.
• Only use Travelers marks and logos as icons for linking either (a) to the Travelers web site, or (b) upon the written permission of Travelers, to designated pages on your site which contain Travelers promotional, advertising, or informational materials. Do not use our marks or logos as wallpaper for pages of your site or as metatags.

Linking to Travelers Web Site
You may link to our home page at www.travelers.com. You may not link directly to an interior page within our web site or "deep link" without the written permission of Travelers. Any link to the Travelers web site must be used in such a manner that it is clear to the user that they are leaving your web site and being transported to our web site.

Advertising, Promotional or Informational Materials

Guidelines For Other Activity On Your Web site

Use of Private Information: Global Privacy Policy
Consumers as well as the federal and state governments have taken strong positions regarding the use of personal information about visitors that is collected at web sites. You must have a Privacy Policy statement on your site's home page that complies with the Federal Trade Commission's policy on Internet privacy in order to use any of Travelers' names, marks, logos or copyrighted materials on your site.

Linking To Third Party Sites

• You may not link to the Travelers web site if your web site contains links to other web sites which will have a negative impact on your site or on the Travelers name and reputation;
• No Travelers names, marks, logos or copyrighted material can be used on any web site which links to any other sites on which can be found obscene, discriminatory, political, or pornographic material of any kind.

Use of Chat Rooms

• Travelers strongly discourages the use of chat areas or other forms of interactive communication on web sites since this can lead to abuse and possible liability. Such web site activities are known to create negative public relations and incur legal implications. Travelers therefore has a policy not to allow the use of its name, marks, logos or copyrighted materials on web sites which have such interactive communication areas or functionality.

Pornographic, Obscene or Otherwise Objectionable Material
Travelers has a policy not to allow the use of its name, marks, logos or copyrighted materials on web sites which have or permit the use of obscenities, vulgar or crude language, sexually explicit discussions, pornography, inappropriate graphic images or disparaging or discriminatory comments.

Travelers also retains the right to take further action against the use of objectionable material on web sites. The following is a list of inappropriate actions that will result in the cancellation of your agency contract with Travelers:

• Posting, transmitting, promoting, or distributing illegal content;
• Transmitting or facilitating discussion of content that is harmful, abusive, racially or ethically offensive, disparaging, vulgar, sexually explicit or otherwise offensive;
• Posting information that is false or misleading; or
• Using any of the Travelers names, marks, logos or copyrighted or promotional materials in any manner not permitted under these Guidelines.

TRAVELERS ONLINE LICENSE AGREEMENT
These terms and conditions (the "Terms") govern the grant by The Travelers Companies, Inc. and its property casualty subsidiaries and affiliates (collectively "Travelers") to its authorized agents ("you" or "your") of certain rights with respect to this web site (the "Web site").

LICENSE AND USE RESTRICTIONS
All information, text, documents, logos, marketing materials, ".gifs," trademarks and service marks (collectively, the "Materials") provided on the following pages of this Web site are either owned by Travelers or provided to Travelers by third parties or other parties (the "Third Party Providers") and are the copyrighted works and/or trademarks of Travelers and/or such Third Party Providers. Except as stated herein, none of the Materials may be copied, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior express written permission of Travelers. You also may not, without Travelers' prior express written permission, "mirror," "frame" or "hyperlink" to any portion of this Web site without the prior express written permission of Travelers.

In consideration of your strict performance of each and every provision of these Terms, Travelers hereby grants you royalty-free, fully revocable, non-transferable, non-exclusive license (without the right to grant sublicenses), solely for the period during which you are an authorized Travelers insurance agent and while you are physically located in the United States or Canada, to use, execute, display, copy, distribute and download Materials for use solely and exclusively by you on a web site operated from servers physically located in the United States or Canada, relating to your representation of Travelers as all or part of your insurance agency business with respect to customers or potential customers located in the United States or Canada, provided that: (1) all copyright, trademark and other notices required by Travelers appear in the Materials; (2) your exercise of the foregoing license is at all times in full compliance with written guidelines promulgated and distributed by Travelers from time to time (the "Guidelines"), which shall themselves be deemed a part of these Terms; (3) you do not change or otherwise modify the Materials; and (4) the nature and quality of all services rendered by you in connection with the Materials conform to the standards set by Travelers. You agree that you will do nothing inconsistent with Travelers or Third Party Providers' ownership and that all use of the Material will inure to the benefit of and be on behalf of Travelers or Third Party Providers.

The foregoing license shall terminate automatically upon the termination of your Agency Agreement with Travelers or by either party upon 30 days written notice to the other party. Notwithstanding, Travelers may, upon written notice, suspend immediately your right to use its name and logo if, in its opinion, your use reflects unfavorably on the name and reputation of Travelers, until such as time as you discontinue such use or upon termination of the license. Upon termination of the license, you will immediately destroy or delete any and all Materials licensed hereunder and promptly confirm to Travelers in writing that you have done so.

Nothing on this Web site shall be construed as conferring any license under any of Travelers' or any Third Party Provider's intellectual property rights, whether by estoppel, implication, or otherwise, except for those licenses expressly granted herein.

APPROVAL
Travelers shall have the right to review and approve your use of its Materials and descriptions of or other text concerning its companies, products and/or services.

NO WARRANTY

IN NO EVENT SHALL TRAVELERS OR THIRD PARTY PROVIDERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE) HOWEVER ARISING, WHETHER FOR BREACH OF CONTRACT, TORT, OR OTHERWISE, EVEN IF PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

YOU AGREE BOTH DURING AND AFTER THE TERM OF THIS AGREEMENTTO INDEMNITY, DEFEND AND HOLD HARMLESS TRAVELERS AND THIRD PARTY PROVIDERS, AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATED COMPANIES, CUSTOMERS AND AGENTS FROM AND AGAINST ANY CLAIMS. DEMANDS, THREATS, SUITS, OR PROCEEDINGS, AND ANY LOSSES IN CONNECTION THEREWITH, TO THE EXTENT ARISING FROM A BREACH OF THESE TERMS AND CONDITIONS OR MISUSE OF ANY USE OF THE MATERIALS OR THE WEB SITE.

GENERAL
The Materials may contain inaccuracies or typographical errors, and may contain information that is out of date. Travelers and the Third Party Providers may make improvements and/or changes in the Materials at any time without notice. You agree to review the content of the Web site (including without limitation the Materials and the Guidelines) no less frequently than one (1) time each calendar quarter to ensure that you are using the most current version of the foregoing as permitted, and to cease using any non-current version thereof and to cease any impermissible use promptly thereafter. Any action related to these Terms will be governed by New York law, without regard to conflicts of laws principles, and the State and Federal Courts located in New York County, New York, shall have sole jurisdiction over any dispute arising hereunder.

ENTIRE AGREEMENT
These Terms are the entire agreement between the parties with respect to this subject matter, and supersede any and all prior or contemporaneous, conflicting or additional communications, negotiations or agreements. Travelers may modify or add to these Terms upon notice to you, and you shall accept such modifications or additions by continuing any use of the Materials after the date of such notice.
